国并购是一个很重要的途径。随着互联网行业的竞争日益激烈,很多互联网企业也都希望能够扩张自己的规模,于是纷纷进行了跨国并购。本文将目光集中于中国互联网行业的巨头阿里巴巴集团,选择阿里巴巴并购东南亚最具影响力的电商平台lazada公司的案例,简述并购的过程,分析阿里巴巴并购lazada的动因以及并购之后对阿里巴巴绩效的影响,从而对国内同类型企业的并购提出建议。阿里巴巴并购lazada的动因可以从五个方面进行分析:加快进入海外市场的速度、扩大出口规模、实现资源的优化配置、丰富企业的盈利模式以及lazada公司发展潜力大。利用杜邦分析法对阿里巴巴的绩效进行分析,可以得出阿里巴巴并购lazada之后从短期来看,对阿里巴巴的绩效的影响是正向的,即使依然存在一些需要解决的问题,但是总体来说,这一个并购案例是成功的,最后对同类型的企业并购提出了四点建议,对国内互联网企业并购事业能够有一定的引导作用,分别是:制定合理的并购方案、制定顺应企业发展的并购计划、注重人力资源的整合以及加强与用户的沟通。
THE IMPACT OF TRANSNATIONAL MERGERS AND ACQUISITIONS OF INTERNET ENTERPRISES ON ENTERPRISE PERFORMANCE
——TAKE ALIBABAS ACQUISITION OF LAZADA AS AN EXAMPLE
ABSTRACT
With the development of economy, if enterprises want to achieve rapid development, global operation and resource allocation, crossborder M & A is a very important way. With the increasingly fierce competition in the Internet industry, many Internet companies also hope to expand their own scale, so they have carried out crossborder M & A. This paper focuses on Alibaba group, a giant in Chinas Internet industry, and selects the case of Alibabas merger and acquisition of lazada, the most influential ecommerce platform in Southeast Asia. It briefly describes the process of the merger and acquisition, analyzes the motivation of Alibabas merger and acquisition of lazada and the impact on Alibabas performance after the merger and acquisition, so as to make suggestions for the merger and acquisition of domestic enterprises of the same type. The motivation of Alibabas merger and acquisition of lazada can be analyzed from five aspects: accelerating the speed of entering the overseas market, expanding the scale of export, realizing the optimal allocation of resources, enriching the profit model of enterprises and the great development potential of lazada. Using DuPont analysis method to analyze Alibabas performance, we can draw a conclusion that Alibabas merger and acquisition of lazada has a positive impact on Alibabas performance in the short term, even though there are still some problems to be solved, but generally speaking, this merger and acquisition case is successful. Finally, we put forward four suggestions for the same type of enterprise merger and acquisition, and domestic Internet The enterprise merger and acquisition can play a guiding role in the following aspects: making a reasonable merger and acquisition plan, making a merger and acquisition plan that conforms to the development of the enterprise, paying attention to the integration of human resources and strengthening the communication with users.
